TERMS AND CONDITIONS OF SALE

1. About These Terms

These Terms and Conditions of Sale apply when you:

  • visit or use our website;
  • create or use a customer account;
  • request a quotation or sample;
  • place an order through our website; or
  • purchase products from us.

Please read these Terms carefully before placing an order.

By placing an order, you confirm that you have read and agree to these Terms together with our:

  • Privacy Policy;
  • Cookie Policy;
  • Delivery Policy;
  • Returns, Refunds and Cancellation Policy;
  • Customer Reviews Policy;
  • Accessibility Statement; and
  • any additional terms clearly displayed on the relevant product page, quotation or during checkout.

Nothing in these Terms affects your statutory rights as a consumer.

4. Consumers and Business Customers

A consumer is an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.

A business customer is a person or organisation acting wholly or mainly for purposes relating to a trade, business, craft or profession.

Some sections of these Terms apply differently depending on whether you are purchasing as a consumer or business customer.

Where you are legally acting as a consumer, consumer-protection laws apply and cannot be excluded by describing an order as a trade order.

5. Who May Place an Order

To place an order, you must:

  • be at least 18 years old;
  • have legal capacity to enter into a contract;
  • provide complete and accurate information;
  • be authorised to use the selected payment method; and
  • provide a valid billing and supported delivery address where required.

Where an order is placed for a company or another organisation, the person placing it confirms that they have authority to bind that organisation.

Products purchased through our website must not be acquired for unlawful or unauthorised resale.

6. Website Use

You must not use our website:

  • unlawfully or fraudulently;
  • to impersonate another person;
  • to submit false payment or delivery information;
  • to interfere with website security;
  • to introduce malicious software;
  • to gain unauthorised access;
  • to harvest personal information;
  • to infringe intellectual-property rights;
  • to manipulate reviews, ratings or prices;
  • to place automated or abusive orders; or
  • in a way that harms us, our customers or service providers.

Reasonable use of ordinary search engines, screen readers and accessibility tools is permitted.

We may restrict access where reasonably necessary to protect:

  • customers;
  • payment systems;
  • service providers;
  • our business; or
  • legal rights.

7. Product Information

We take reasonable care to ensure that product:

  • specifications;
  • dimensions;
  • images;
  • colours;
  • finishes;
  • prices; and
  • availability

are accurate.

However:

  • colours and finishes may appear differently depending on screen settings and lighting;
  • tiles and natural-effect products may contain intended variations;
  • dimensions may be subject to reasonable manufacturing tolerances;
  • packaging may differ from website images;
  • images may show accessories or surrounding items that are not included;
  • installation images may be illustrative;
  • manufacturers may make lawful specification changes; and
  • products may differ between manufacturing batches.

You should review the complete product description before ordering.

Where an exact:

  • colour;
  • shade;
  • batch;
  • texture;
  • grain;
  • pattern;
  • gloss level; or
  • finish

is important, we recommend ordering an available sample before purchasing a larger quantity.

A sample provides a general indication only. It does not guarantee complete uniformity across a later order or production batch.

8. Product Measurements and Quantities

You are responsible for checking:

  • room and installation measurements;
  • quantities;
  • product dimensions;
  • product compatibility;
  • installation requirements;
  • substrate suitability;
  • water-pressure requirements;
  • electrical requirements;
  • plumbing requirements;
  • load limits;
  • access restrictions; and
  • suitability for the intended use.

Product calculators, room planners and quantity estimates are guides only.

For tiles and other products requiring cutting, matching or future repair, allow an appropriate amount for:

  • wastage;
  • breakage;
  • pattern matching;
  • cuts;
  • future repairs; and
  • manufacturing variation.

The appropriate allowance depends on the:

  • product;
  • room shape;
  • installation pattern;
  • surface condition; and
  • installer’s assessment.

9. Installation

We recommend that products are installed or applied by a suitably qualified and experienced person.

Installation must follow:

  • manufacturer instructions;
  • product data sheets;
  • safety data sheets;
  • applicable building requirements;
  • recognised trade standards;
  • applicable regulations; and
  • relevant health and safety precautions.

We are not responsible for installation decisions made without appropriate professional advice.

Do not install, cut, drill, seal, grout, glue, wire, plumb or otherwise alter a product if it appears:

  • damaged;
  • incorrect;
  • incomplete;
  • defective; or
  • unsuitable.

10. Tiles and Batch Products

Tiles, mosaics and similar products may vary between batches.

Before installation, check:

  • product reference;
  • quantity;
  • dimensions;
  • colour;
  • shade;
  • finish;
  • calibre;
  • pattern;
  • batch number;
  • surface variation; and
  • visible condition.

All boxes intended for one installation should be checked together.

Mix tiles from different boxes where recommended to distribute natural variation.

We cannot guarantee that later orders will match an earlier batch.

Customers should retain a suitable quantity for future repair where matching may be important.

11. Availability

All products are subject to availability.

Adding a product to a basket does not reserve it.

Stock information may occasionally be inaccurate because of:

  • simultaneous orders;
  • supplier changes;
  • stock-counting errors;
  • damaged stock;
  • discontinued products;
  • warehouse delays;
  • technical errors; or
  • supplier availability.

Where an ordered product is unavailable, we may:

  • provide an estimated availability date;
  • offer an alternative, which you may decline;
  • cancel the affected product; or
  • cancel the entire order where fulfilment is not reasonably possible.

Where we cancel an unavailable product, we will refund the amount paid for it and any delivery amount that becomes refundable as a result.

12. Placing an Order

Our website allows you to review and correct your order before submitting it.

Before placing an order, check:

  • products;
  • variations;
  • quantities;
  • billing address;
  • delivery address;
  • contact details;
  • delivery method;
  • delivery charges;
  • discounts;
  • VAT; and
  • total price.

By selecting the final payment or order-confirmation button, you are placing an order with an obligation to pay.

After submission, we will normally send an automated acknowledgement.

An acknowledgement confirms receipt of the order but does not necessarily mean that we have accepted it.

13. When the Contract Is Formed

Your order is an offer to purchase products from us.

A binding contract is formed when we:

  • send an order acceptance;
  • send a dispatch confirmation; or
  • otherwise clearly confirm acceptance.

A payment authorisation, payment receipt or automated acknowledgement does not by itself require us to accept an order.

Each accepted product may form a separate contract where appropriate.

We may decline or cancel an order before acceptance for a legitimate reason, including where:

  • the product is unavailable;
  • payment cannot be authorised;
  • payment appears unauthorised;
  • the order contains an obvious price or description error;
  • delivery is unavailable;
  • the order appears fraudulent;
  • the customer does not satisfy eligibility requirements;
  • quantity restrictions apply;
  • information provided is materially inaccurate; or
  • fulfilment would breach legal or regulatory requirements.

If payment has already been taken for an order we decline, we will issue an appropriate refund.

14. Contract Confirmation

After accepting an online consumer order, we will provide confirmation in a durable format, normally by email.

The confirmation may include or link to:

  • the products ordered;
  • total price;
  • delivery charge;
  • delivery arrangements;
  • our business details;
  • cancellation information; and
  • applicable policies and terms.

You should retain the order confirmation and these Terms for your records.

15. Prices

Product prices are displayed in pounds sterling.

Unless clearly stated otherwise, prices displayed to UK consumers include VAT at the applicable rate where VAT is chargeable.

Delivery charges are not necessarily included in the product price.

Applicable delivery charges will be shown or calculated before the order is submitted.

Prices may change, but changes will not normally affect an order already accepted.

The price payable is the price displayed at checkout when the order is placed, subject to correction of obvious errors and applicable law.

16. Price Transparency

We aim to display the total mandatory price information required before an order is placed.

Mandatory charges that can reasonably be calculated in advance will be included or clearly presented before payment.

Delivery charges that depend on the order or delivery address will be calculated or displayed before the order is submitted.

We will not add an undisclosed mandatory charge after accepting an order.

Optional products or services will not be added through a pre-selected option where the law requires active customer agreement.

17. Pricing and Description Errors

We take reasonable care to ensure that prices and product information are accurate, but errors may occur.

Where we discover an obvious error before accepting an order, we may:

  • ask whether you wish to proceed using the correct price or information; or
  • cancel the affected order and refund any payment taken.

We are not normally required to supply a product at a clearly incorrect price where the error should reasonably have been apparent.

Where an error is discovered after acceptance, we will contact you promptly and seek a fair and lawful resolution.

Nothing in this section permits us to change an accepted consumer contract unilaterally where the law does not allow it.

18. Promotions and Discount Codes

Promotions, offers and discount codes:

  • are subject to displayed promotional terms;
  • apply only during the stated period;
  • may be limited to selected products;
  • may require a minimum order value;
  • may exclude delivery;
  • may be limited to one use;
  • may not be combined unless stated;
  • cannot normally be exchanged for cash; and
  • may be withdrawn where required because of error, misuse or legal necessity.

Promotions do not affect statutory rights.

Where part of an order is returned, a promotion may be recalculated according to:

  • the products retained;
  • the original conditions; and
  • applicable law.

19. Payment

Available payment methods are displayed during checkout.

They may include:

  • payment cards;
  • Shopify Payments;
  • PayPal;
  • Shop Pay;
  • Apple Pay;
  • Google Pay; or
  • another approved provider.

Payment must be authorised before an order is accepted or dispatched.

By submitting payment information, you confirm that:

  • the information is accurate;
  • you are authorised to use the payment method; and
  • sufficient funds or credit are available.

Payment providers may conduct:

  • security checks;
  • identity checks;
  • address checks;
  • fraud checks; and
  • payment authentication.

We do not normally receive or store complete payment-card details.

20. Payment Problems and Chargebacks

We may delay, decline or cancel an order where payment:

  • is refused;
  • cannot be verified;
  • appears fraudulent;
  • is reversed;
  • is unauthorised; or
  • becomes subject to a chargeback.

Before starting a chargeback, customers should contact us where reasonably possible so that we can try to resolve the underlying issue.

Nothing in this section prevents a customer from using a lawful chargeback or card-provider remedy.

Submitting a knowingly false chargeback claim may constitute fraud.

21. Fraud Prevention

We may use automated or manual checks to prevent fraudulent, unauthorised or unlawful transactions.

We may request reasonable information to verify:

  • identity;
  • billing information;
  • delivery information;
  • payment authority;
  • address;
  • the legitimacy of the order; or
  • the connection between the purchaser and recipient.

We may delay or decline an order while reasonable fraud or security concerns remain.

Information may be shared with Shopify, payment providers, fraud-prevention services, financial institutions and relevant authorities as explained in our Privacy Policy.

22. Delivery

We deliver only to destinations supported by our checkout and Delivery Policy.

Available delivery services, charges and estimates depend on factors including:

  • product size;
  • product weight;
  • quantity;
  • order value;
  • delivery postcode;
  • warehouse or supplier location;
  • pallet requirements;
  • specialist-transport requirements; and
  • carrier availability.

The applicable charge will be displayed or calculated before the order is placed.

Delivery dates and windows are estimates unless expressly confirmed as guaranteed.

23. Delivery Time

Unless another delivery period has been agreed, consumer orders will be delivered without undue delay and normally no later than 30 days after the contract is formed.

Where delivery is late, you may have rights to:

  • require delivery within an additional appropriate period;
  • cancel the contract in certain circumstances; or
  • receive a refund where the contract is ended.

Where delivery by a particular date is essential and this was agreed or made clear before the contract was formed, additional rights may apply.

24. Large, Heavy and Palletised Goods

Palletised and specialist deliveries are normally made to:

  • the kerbside; or
  • the nearest safe and accessible unloading point.

Delivery does not normally include:

  • carrying goods into the property;
  • carrying goods upstairs;
  • delivery to a particular room;
  • unpacking;
  • installation;
  • removal of packaging;
  • removal of pallets; or
  • removal of existing products.

You must ensure that:

  • suitable vehicle access is available;
  • access restrictions have been disclosed;
  • someone authorised is present where required; and
  • sufficient assistance is available to move heavy products after delivery.

Additional costs caused by inaccurate or undisclosed access information may be charged where lawful and reasonably incurred.

25. Delivery Address and Access

You must provide complete and accurate:

  • address details;
  • postcode;
  • telephone number;
  • email address; and
  • access information.

Tell us before dispatch about:

  • narrow roads;
  • low bridges;
  • weight restrictions;
  • parking restrictions;
  • controlled access;
  • gates;
  • stairs;
  • lifts;
  • pedestrian areas;
  • timed restrictions;
  • unsuitable unloading points; or
  • another relevant obstacle.

We are not responsible for delay caused by materially inaccurate or incomplete information provided by the customer.

26. Failed or Refused Delivery

Refusing delivery does not automatically cancel an order.

You must separately notify us if you wish to cancel.

Where delivery fails because of circumstances within the customer’s control, we may charge reasonable costs actually incurred for:

  • storage;
  • redelivery;
  • return to sender;
  • specialist handling; or
  • another delivery attempt.

This does not apply where delivery was reasonably refused because goods were visibly and seriously damaged, incorrect or otherwise our responsibility.

27. Risk and Ownership

For consumer orders, responsibility for accidental loss or damage normally passes when:

  • you take physical possession; or
  • a person nominated by you, other than the carrier arranged by us, takes possession.

Where you independently appoint a carrier that was not offered or arranged by us, risk may pass when the goods are handed to that carrier, where permitted by law.

Legal ownership normally passes only after we receive full payment.

Nothing in this section limits rights that cannot legally be excluded.

28. Checking Delivery

Inspect all goods as soon as reasonably possible after delivery and before installation.

Check:

  • number of packages;
  • product references;
  • quantities;
  • sizes;
  • variants;
  • colours;
  • finishes;
  • shade and batch;
  • components; and
  • visible condition.

Do not install or alter a product that appears damaged, incorrect, incomplete or unsuitable.

Signing a delivery note does not remove your statutory rights.

29. Damage, Shortages and Incorrect Products

Where goods arrive damaged, incomplete or incorrect, contact:

Provide where possible:

  • order number;
  • description of the problem;
  • photographs of the product;
  • photographs of packaging;
  • photographs of labels;
  • quantity received; and
  • details of missing packages.

Retain the goods and packaging while the matter is investigated.

Prompt notification helps us investigate with the carrier but does not remove statutory rights.

30. Consumer Cancellation Rights

A consumer purchasing online normally has the right to cancel an eligible order without giving a reason.

The normal cancellation period ends 14 days after the day on which:

  • the consumer receives the goods; or
  • a person nominated by the consumer, other than the carrier, receives them.

Where goods are delivered separately, the period normally runs from receipt of the final product, lot or piece.

To cancel, clearly notify us before the period expires.

You may use the cancellation form in our Returns, Refunds and Cancellation Policy, but you are not required to do so.

31. Products Excluded From Change-of-Mind Cancellation

The right to cancel may not apply to certain goods, including where applicable:

  • products made to the customer’s specifications;
  • clearly personalised products;
  • genuinely bespoke products;
  • goods liable to deteriorate or expire rapidly;
  • sealed goods unsuitable for return for genuine hygiene reasons once unsealed;
  • goods inseparably mixed after delivery; and
  • other goods excluded by law.

A product is not automatically excluded merely because it was ordered from a supplier after the customer ordered it.

An exclusion does not affect rights where goods are faulty, damaged or misdescribed.

32. Returning Cancelled Goods

After cancellation, the consumer must return goods without undue delay and normally within 14 days of giving notice.

The consumer is normally responsible for arranging and paying the direct return cost for change-of-mind returns.

Large, heavy, fragile, long or palletised products may require a specialist carrier arranged by the customer.

Goods must be returned to the address specified in our instructions.

Do not send goods to our registered office or trading address unless instructed.

The customer remains responsible for a customer-arranged return until it reaches the specified return location.

33. Handling Returned Goods

A consumer may inspect goods as they reasonably could in a shop.

Where handling goes beyond what is necessary to establish the nature, characteristics and functioning of the goods and reduces their value, we may make a lawful proportionate deduction.

We do not impose an automatic restocking charge merely because packaging has been carefully opened.

Installed, cut, drilled, used or altered products may have no or significantly reduced resale value.

A deduction will be based on actual diminished value and will not be used to remove statutory faulty-goods rights.

34. Refunds Following Cancellation

For an eligible statutory cancellation, we will refund:

  • the price paid for returned goods; and
  • the cost of the least expensive standard delivery method offered, where applicable.

We are not required to refund the additional cost of an enhanced or express delivery method.

We may withhold the refund until:

  • we receive the goods; or
  • satisfactory evidence of return is supplied,

whichever occurs first, where permitted by law.

Refunds will normally be issued within the applicable legal period and using the original payment method unless otherwise agreed.

35. Additional Voluntary Returns

We offer an additional voluntary return period for certain eligible products, subject to the conditions in our Returns, Refunds and Cancellation Policy.

This commercial policy does not replace or restrict statutory rights.

Products returned under the voluntary policy may need to be:

  • unused;
  • uninstalled;
  • complete;
  • undamaged;
  • unaltered;
  • in original packaging; and
  • in resaleable condition.

36. Faulty or Misdescribed Goods

Goods supplied to consumers must be:

  • of satisfactory quality;
  • fit for their normal purpose;
  • fit for a purpose made known to us where applicable;
  • as described; and
  • compliant with applicable legal requirements.

Where goods do not conform to the contract, remedies may include:

  • rejection and refund;
  • repair;
  • replacement;
  • price reduction; or
  • final rejection,

depending on the circumstances and applicable law.

Customers will not be required to bear necessary return or collection costs that the law places on us.

37. Short-Term Right to Reject

A consumer may have a 30-day short-term right to reject goods that do not conform to the contract.

The precise starting date depends on the circumstances, including delivery, transfer of possession and any installation included in the contract.

Where the right applies, the consumer may be entitled to a refund.

A consumer may choose repair or replacement instead of rejecting the goods.

Nothing in these Terms restricts longer statutory rights.

38. Repair, Replacement, Price Reduction and Final Rejection

Where repair or replacement is the appropriate remedy, it will be provided:

  • within a reasonable time;
  • without significant inconvenience; and
  • without requiring the consumer to bear costs that the law places on us.

A consumer may have rights to a price reduction or final rejection where, for example:

  • repair or replacement is impossible;
  • repair or replacement has failed;
  • it was not completed within a reasonable time;
  • it caused significant inconvenience; or
  • another legal condition is met.

Each claim will be assessed fairly according to the circumstances and applicable law.

39. Inspection of Faulty Goods

We may ask for reasonable:

  • photographs;
  • videos;
  • measurements;
  • batch details;
  • serial numbers;
  • packaging;
  • installation information;
  • installer reports;
  • manufacturer reports; or
  • return of the product for inspection.

An investigation will be proportionate and will not be used to unreasonably delay a statutory remedy.

Do not dispose of allegedly faulty goods until authorised or the matter is resolved.

40. Installation and Additional Losses

Do not book installers or remove existing products before the complete order has arrived and been inspected.

Where a visible issue could reasonably have been identified before installation, we may not be responsible for avoidable:

  • labour;
  • removal;
  • refitting;
  • contractor;
  • travel; or
  • delay costs,

except where applicable law provides otherwise.

This does not exclude responsibility for:

  • defects that were not reasonably discoverable;
  • foreseeable loss caused by our breach where legally recoverable;
  • damage caused by a defective product where liability applies; or
  • another loss that cannot lawfully be excluded.

41. Manufacturer Warranties

Some products include a manufacturer’s warranty or guarantee.

A manufacturer’s warranty:

  • is subject to the manufacturer’s conditions;
  • may require registration;
  • may require proof of purchase;
  • may exclude misuse or incorrect installation;
  • may require maintenance; and
  • is separate from statutory rights against us as the seller.

The absence or expiry of a manufacturer’s warranty does not automatically remove statutory rights.

42. Product Safety

You must follow all applicable:

  • installation instructions;
  • safety warnings;
  • data sheets;
  • storage instructions;
  • maintenance instructions;
  • protective-equipment requirements; and
  • legal or trade requirements.

Products including adhesives, grouts, primers, sealants, levelling compounds and cleaning materials may require specialist handling.

Keep chemical products away from children and animals.

Use products only for their intended purpose.

Safety data sheets may be available from us, the supplier or manufacturer.

43. Customer Accounts

Where customer accounts are available, you are responsible for:

  • keeping login details confidential;
  • providing accurate information;
  • preventing unauthorised use; and
  • notifying us of suspected unauthorised access.

We may suspend or close an account where reasonably necessary because of:

  • security;
  • suspected fraud;
  • misuse;
  • legal compliance; or
  • serious or repeated breach of these Terms.

Closing an account does not cancel outstanding contractual or payment obligations.

44. Reviews and User Content

Where the website permits reviews, photographs, comments or other content, you must ensure that the submission:

  • reflects a genuine experience;
  • is accurate to the best of your knowledge;
  • does not infringe another person’s rights;
  • is not unlawful, defamatory, threatening or abusive;
  • does not contain malicious code;
  • does not disclose private information without authority;
  • is not misleading advertising;
  • discloses any material incentive or connection; and
  • relates to the relevant product or service.

You retain ownership of your content but grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce, display and use it for operating and promoting our business.

We may moderate or remove content in accordance with our Customer Reviews Policy.

We will not knowingly:

  • present fabricated reviews as genuine;
  • transfer reviews between materially different products;
  • suppress genuine negative reviews solely because they are negative;
  • misrepresent how ratings are calculated; or
  • present an incentivised review as independent where that would be misleading.

We will take appropriate and proportionate steps intended to prevent and remove fake or misleading reviews.

45. Intellectual Property

The website and its original content, including:

  • branding;
  • logos;
  • layout;
  • text;
  • graphics;
  • photographs;
  • videos;
  • product guides; and
  • software elements

are owned by us, licensed to us or used with permission.

You may view and print content for personal, non-commercial use.

You must not reproduce, republish, distribute, commercially exploit or modify protected content without permission, except where permitted by law.

Manufacturer names, trade marks, images and product information remain the property of their respective owners.

46. Third-Party Services and Links

The website may link to or integrate with:

  • Shopify;
  • payment providers;
  • delivery tracking;
  • review providers;
  • social media;
  • map or video providers;
  • manufacturers; and
  • supplier websites.

Third-party services operate under their own terms and privacy information.

We are not responsible for independently controlled third-party content or services, except where applicable law makes us responsible.

A link does not necessarily constitute endorsement.

47. Privacy and Cookies

We process personal information in accordance with our Privacy Policy.

Where consent is required, non-essential technologies should not be activated before an appropriate choice is made.

48. Accessibility

We aim to make our website and customer services reasonably accessible.

We will consider reasonable adjustments in accordance with applicable law.

49. Events Outside Our Reasonable Control

We are not responsible for failure or delay caused by events outside our reasonable control.

These may include:

  • extreme weather;
  • fire;
  • flood;
  • epidemic;
  • war;
  • terrorism;
  • civil disorder;
  • industrial action;
  • transport disruption;
  • power failure;
  • telecommunications failure;
  • cyber incidents;
  • carrier failure;
  • supplier interruption;
  • government restrictions; or
  • comparable events.

We will take reasonable steps to reduce the effect and resume performance.

Consumer rights concerning substantial delay or non-performance remain unaffected.

50. Our Responsibility to Consumers

Nothing in these Terms excludes or limits liability where unlawful, including liability for:

  • death or personal injury caused by negligence;

  • breach of statutory consumer rights;
  • defective-product liability that cannot be excluded; or
  • another liability that cannot legally be limited.

We are responsible for foreseeable loss or damage caused by our breach of contract or failure to use reasonable care and skill.

Loss is foreseeable where:

  • it was obvious it would happen; or
  • both parties knew it might happen when the contract was formed.

Subject to applicable law, we are not responsible for loss that:

  • was not foreseeable;
  • was caused by inaccurate information supplied by the customer;
  • resulted from misuse;
  • resulted from incorrect installation;
  • could reasonably have been avoided; or
  • relates wholly to business activity where the purchase was made as a business customer.

51. Business Customers

This section applies to business customers.

To the maximum extent permitted by law, we will not be liable to a business customer for:

  • loss of profit;
  • loss of revenue;
  • loss of business;
  • loss of anticipated savings;
  • loss of contracts;
  • loss of goodwill;
  • business interruption; or
  • indirect or consequential loss.

Our total liability to a business customer arising from an order will not normally exceed the amount paid for the affected products.

This limit does not apply to:

  • fraud;
  • fraudulent misrepresentation;
  • death or personal injury caused by negligence; or
  • another liability that cannot legally be excluded.

Business customers should maintain suitable:

  • insurance;
  • professional advice;
  • installation supervision;
  • product checks; and
  • contingency arrangements.

The Terms applying to an accepted order are normally those in force when the order was placed, unless:

54. Transfer of Rights and Obligations

We may transfer our rights or obligations under a contract to another organisation where this does not reduce a consumer’s legal rights.

You may transfer your rights where:

  • we agree in writing; or
  • applicable law permits transfer without our agreement.

55. Third-Party Rights

The contract is between the customer and FMV Services Ltd.

Except where expressly stated or required by law, another person does not have the right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

56. Severability

Each section of these Terms operates separately.

If a court or competent authority decides that a provision is unlawful or unenforceable, the remaining provisions continue in effect.

Where possible, an invalid provision will be adjusted only to the minimum extent required.

57. No Waiver

If we do not immediately enforce a right, this does not mean that we have waived it.

A waiver applies only where clearly given and does not constitute a continuing waiver unless expressly stated.

58. Entire Agreement

These Terms, together with:

  • applicable policies;
  • product descriptions;
  • quotations;
  • order confirmations;
  • information shown before purchase; and
  • additional terms expressly incorporated into the contract

form the agreement concerning an accepted order.

Nothing in this section excludes or limits:

  • liability for fraud or fraudulent misrepresentation;
  • information that applicable law requires to form part of a consumer contract;
  • a binding pre-contract statement;
  • the requirement that goods match their description;
  • an expressly agreed product specification; or
  • another right that cannot lawfully be excluded.

Where a product page, quotation or order confirmation contains a specific agreed term that conflicts with a general provision in these Terms, the more specific agreed term will normally apply to that product or order, subject to applicable law.

59. Governing Law and Jurisdiction

These Terms and contracts formed through the website are governed by the laws of England and Wales.

If you are a consumer resident in Scotland, Northern Ireland or another jurisdiction, you retain any mandatory legal protections and rights to bring proceedings in the courts available to you under applicable law.

Business customers agree that the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.
